Saarbruecken - 18 October 2013. The Supervisory and the Management Board of
ItN Nanovation AG (ISIN DE000A0JL461) - based on the resolution passed on
the Annual General Meeting of 21 August 2013 - have decided to perform a
capital increase with subscription rights against cash contribution. With
this measure, the share capital will be increased to up to 13,520,207 EUR
by issuing up to 1,687,441 new shares.
The current shareholders of the company may acquire new shares exercising
their subscription right in a ratio of 7:1 at a price of 2.27 EUR per share
from 21 October 2013 until 4 November 2013 (4 p.m.). Within the
subscription period, shareholders may submit a binding subscription offer
for an oversubscription; the allocation of shares cannot be granted,
however. Subscription rights will not be traded. In addition, unsubscribed
shares may be offered in a private placement for the price of 2.27 EUR. The
new shares are entitled to profit-sharing from 1 January 2013.
The gross proceeds from the capital increase will correspondingly amount to
3.8 million EUR. The fresh funds are to secure liquidity and to strengthen
equity. Furthermore, they will be needed to finance the expected dynamic
growth of the company.
