Important change in Tessenderlo Chemie NV's capital structure

Disclosure in accordance with the requirements of the Transparency Law
Pursuant to the transparency legislation of May 2, 2007, Tessenderlo Group
discloses the following information concerning the share capital of Tessenderlo
Chemie NV (NYSE Euronext: TESB).
On November 6(th), 2013, Verbrugge NV controlled by Picanol NV, notified
Tessenderlo Group it acquired 8,744,069 shares or 27.52 % of the share capital
of Tessenderlo Chemie. On the same day, SNPE a 99.9 % French state owned
company, disclosed that its participation in the share capital of Tessenderlo
Chemie NV has fallen below the 5 per cent threshold((1)).
As a result of this transaction, the new capital structure of Tessenderlo Chemie
NV is the following:
* Total number of outstanding ordinary shares: 31,771,463
* Total number of voting rights (the denominator): 31,771,463
* Number of voting rights linked to ordinary
shares owned by Verbrugge NV: 8,744,069
* Total number of outstanding warrants: 1,293,469
Picanol Group is a listed Belgian industrial company and a worldwide supplier
of total solutions for the textile industry and other industries. With its
entrance into Tessenderlo Chemie NV's capital, Tessenderlo Group obtains a
solid Belgian shareholder base supportive of the company's long-term strategy.
Notifications:
According to Tessenderlo Chemie NV bylaws, the threshold as from which a
shareholding needs to be disclosed has been set at 5%, as well as each multiple
of 5%, in either direction. Notifications of important shareholdings to be made
according to the Law of May 2, 2007 or Tessenderlo Chemie's bylaws, should be
