SpareBank 1 SMN: Resolutions of the Supervisory Board

The Supervisory Board has at it meeting on 21 november 2013 passed resolutions
on:
ITEM 6 Amendment of the Articles of Association - number of
alternates to the Board of Directors. Second-time consideration
The Supervisory Board resolved that as from spring 2014 three alternates shall
be elected to the Board of Directors, one of which shall be from among the
employees of the bank.
Article 5-1 of the Articles of Association to be amended from reading:
The Supervisory Board shall elect 6-9 members and 3 alternates. The Supervisory
Board shall in addition elect 1 member and 1 alternate nominated by the
employee-elected members of the Supervisory Board. Efforts should be made to
ensure a regional distribution among the members of the Board of Directors.

consideration
The Supervisory Board endorsed the Board of Directors' recommendation and
resolved the establishment of an office in Ørland municipality and the following
amendment of the Articles of Association:

and branches in the following municipalities:
Aure, Averøy, Bindal, Eide, Frosta, Fræna, Frøya, Førde, Grong, Hitra, Holtålen,
Inderøy, Leksvik, Levanger, Malvik, Melhus, Meråker, Midtre Gauldal, Molde,
Namsos, Nærøy, Oppdal, Orkdal, Overhalla, Rauma, Rennebu, Rissa, Røros, Skaun,
Snåsa, Steinkjer, Stjørdal, Sunndal, Surnadal, Trondheim, Verdal, Verran,
Vestnes, Vikna, Åfjord, Ålesund and Årdal.

possible closure of the office in Bindal, and votes in favour of first-time
consideration of the following amendment of the Articles of Association:
