Aker Solutions ASA: Mandatory notification of trade and disclosure of shareholding

27 November 2013 - Reference is made to the press release dated 26 November
2013 regarding a contemplated offer to acquire shares in Aker Solutions ASA.
Aker ASA has acquired 16,440,000 shares in Aker Solutions ASA at a price of NOK
115 per share. The shares were acquired after close of markets yesterday through
an accelerated book-building process managed by ABG Sundal Collier Norge ASA and
Arctic Securities ASA.
Aker ASA now holds directly 16,440,000 shares (~6 per cent of the share capital)
in Aker Solutions ASA. As a consequence of the transaction Aker ASA has passed
the threshold of 5 per cent of the outstanding share capital in Aker Solutions
ASA. Aker ASA also owns 70 per cent of the shares in Aker Kvaerner Holding AS,
which in turn owns 110 333 615 shares, representing 40.3 per cent of the
outstanding shares in Aker Solutions ASA.
Aker ASA has reduced its financial exposure in the TRS agreement disclosed 1
November 2013 from 1,500,000 shares to 891,762 shares.
