Jena, December 15, 2010 - The shareholders of Intershop Communications AG
appointed a new Supervisory Board member and confirmed the appointment of
an existing one at yesterday's extraordinary general meeting. Dr. Herbert
May, previous member of the Board of Management of Deutsche Telekom AG and
member of the Supervisory Board of Intershop since October 19, 2010, was
confirmed in his position. The shareholders elected Michael Conn, CFO of
the Intershop cooperation partner GSI Commerce Solutions, Inc., as a new
member of the Supervisory Board. He will take the place of Günter Lorenz,
whose membership of the Supervisory Board ceased at the end of the
extraordinary general meeting.
At its constituent meeting directly following the extraordinary general
meeting, the Supervisory Board elected Dr. May as its Chairman. 'I would
like to thank the shareholders for the trust they showed in me and will be
pleased to take on the challenges this position brings with it. Now we must
continue to strengthen Intershop so that we can look towards the future
with confidence and use the opportunities provided to us by our partnership
with GSI Commerce for the benefit of all shareholders,' commented Dr.
Herbert May.
The resolution regarding point 2 on the agenda on the creation of
authorized capital II did not receive the required majority of votes. But
the general meeting authorized the acquisition of own shares (point 3 on
the agenda).
A total of 100 shareholders and shareholder representatives attended the
extraordinary general meeting, corresponding to around 50% of subscribed
capital.
