Announcement of change of control as defined in the terms and conditions of
the convertible bonds
Cologne, 21 February 2011. As already announced by ad-hoc announcement on
15 February 2011, TAG Immobilien AG, Hamburg ('TAG') has acquired a
majority interest in Colonia Real Estate AG, Cologne ('Colonia'); for
details, please refer to the ad-hoc announcement of 15 February 2011.
In respect of the EUR 54,964,000 (1.875%) convertible bonds of 7 December
2006, due 7 December 2011 ('Convertible Bonds'), Colonia as issuer has
today, 21 February 2011, announced a change of control as defined by the
terms and conditions of the Convertible Bonds ('Terms and Conditions') and
has fixed 21 April 2011 as the control record date.
According to section 11 (a) (ii) of the Terms and Conditions, in case of
the issuer announcing a change of control as defined by the terms and
conditions each bondholder may at his option, on giving not less than 10
days' notice prior to the control record date with effect as of the control
record date, declare all or some only of his bonds not previously converted
or redeemed due and demand repayment of such bonds at the accreted
principal amount plus accrued interest to but excluding the control record
date on the control record date.
The adjusted conversion price for the exercise of conversion rights on or
before the control record date amounts to EUR 34.46.
