(Grambach, 01.03.2011) The Annual Shareholders' Meeting of BDI - BioEnergy
International AG held on 18. May 2010 passed a resolution to reduce the
share capital for the purpose of distribution to the shareholders. This is
leading as a result to the distribution of EUR 2.65 per share.
Notification of the company's creditors about the decrease made in the
share capital for the purpose of distribution to the shareholders was
published in the public journal in Wiener Zeitung on 10. September 2010. As
specified in§178 Paragraph 2 of the Austrian Companies Act, payments may
only be made to the shareholders after six months have passed since the
entry and the announcement of the resolution to reduce the capital. This
period ends on 10. March 2011 and so far no claims have been made on the
company by creditors.
The company therefore intends to arrange payment of the amount of EUR 2.65
per share to the shareholders on 14. March 2011 (payment date), provided
that all the legal conditions have been met at the end of the specified
period. The shareholders who are shareholders of BDI BioEnergy
International AG when the stock market closes on 10. March 2011 (record
date) are entitled to receive the payment. The basis for the entitlement to
receive the payment is the portfolio of shares in the company held by a
shareholder at his custodian bank at this time. The shares will therefore
be traded without the right to receive the payment from 11. March 2011
onwards (ex date). The shareholders do not need to issue any special
instructions for the payment to be made.
