2011 AGM of Wirecard AG successfully completed

-Resolution adopted on dividend distribution

-Some 60 percent of share capital present
Munich (Aschheim), June 22, 2011; at today's 2011 Annual General Meeting of
Wirecard AG, which took place in Munich, all items on the agenda were
approved with a vast majority.
Approximately 62 million non-par-value shares were present. This is
equivalent to 62.17 percent of the company's common stock outstanding.
A dividend was approved. For the fiscal year 2010, shareholders will
receive a dividend amounting to EUR 0.10 per share.
The members of the Management Board and Supervisory Board were given a
discharge with a substantial majority. Furthermore Supervisory Board
members Wulf Matthias and Alfons Henseler were re-elected.
Ernst&Young AG Wirtschaftsprüfungsgesellschaft,
Steuerberatungsgesellschaft, Munich, were appointed as auditors of the
annual and consolidated financial statements for the fiscal year 2011.
The relocation of the statutory seat from Grasbrunn to Aschheim, near
Munich, has been resolved.
In his brief to the shareholders, Dr. Markus Braun, CEO of Wirecard AG
confirmed the forecast to achieve an EBITDA for 2011 between EUR 81 and 89
million. 'We are expecting an excellent business year', says Markus Braun.
