Imtech announces share consolidation ratio of 500 for 1

Today, Royal Imtech announces that it has set a consolidation ratio at 500:1 for
the share consolidation previously announced in its 26 August 2014, 25 September
2014 and 23 October 2014 press releases.

As a result, every 500 ordinary shares, with nominal value 0.01 euro (ISIN
NL0006055329) (the "Ordinary Shares") will be consolidated into one (1) ordinary
share with nominal value 5.00 euro (ISIN NL0010886891) (the "Consolidated
Ordinary Shares").

If, after the Share Consolidation, a holder of Ordinary Shares holds a number of
Ordinary Shares through the giro system which is not exactly divisible in
accordance with the consolidation ratio above, his bank or broker will round the
number of Ordinary Shares held by that holder of Ordinary Shares up or down, in
accordance with the particular contractual arrangement between that bank or
broker and the holder of Ordinary Shares. Settlement and rounding-off will be
done in the customary manner by the banks or brokers. Reference is made to the
agenda of the extraordinary general meeting of shareholders held on 7 October
2014 for a more detailed explanation on the consequences for individual
shareholders.

The trading of the Consolidated Ordinary Shares will start on 28 October 2014.
The last day of trading in the Ordinary Shares will therefore be today. Today,
the ticker symbol will change temporarily from IM to IMCO. On 28 October 2014,
the ticker symbol will change back to IM.

As announced in the 25 September 2014 press release, the tick size will be
adjusted from 0.0001 euro back to its original size of 0.001 euro as of 1
November 2014.
