Overtech Files 8-K and Name Change in Accordance With Acquisition of Beatmungspflege 24 GmbH
(firmenpresse) - STUTTGART, GERMANY -- (Marketwired) -- 11/20/14 -- Overtech Corp. () Overtech Corp. (the "Company" or "Overtech") (OTCBB: OVET) is pleased to announce that it has completed the filing on November 19, 2014 of its Current Report on Form 8-K (the "Super 8-K") disclosing the closing of the acquisition of Beatmungspflege 24 GmbH (the "GmbH"). As a result of completion of the acquisition and filing of the Super 8-K, the company is no longer considered a shell company under SEC rules.
As a post-closing matter, the directors of Overtech and its subsidiary, Medicus Homecare Inc., have agreed to merge effective December 12, 2014. As a result of the merger, Overtech's name will become Medicus Homecare Inc. The Company is seeking the granting of a new trading symbol that is more appropriate to its new name and business in connection with the regulatory approval of the merger and name change.
Completion of the merger and name change is subject to all regulatory filings and approvals.
