("Yorbeau") pursuant to a trade on the Toronto Stock Exchange, which represents approximately 8.9% of the outstanding shares of Yorbeau. 8217327 acquired these shares for investment purposes at a price of $0.0799 per share. As a result of this acquisition, 8217327 presently holds 23,755,557 common shares representing approximately 11.6% of the outstanding shares of Yorbeau. 8217327 also holds warrants to acquire 2,777,778 shares of Yorbeau. If all such warrants are exercised, 8217327 would own 26,533,335 common shares of Yorbeau, which would represent approximately 12.8% of the then issued and outstanding common shares of Yorbeau.
