Imtech shareholders adopt all resolutions at AGM

At today's Annual General Meeting (AGM), shareholders of Royal Imtech approved
all resolutions including the company's 2014 financial statements and the
reappointment of Mrs. R.D. van Andel and the appointment of Mrs. C. Wolff as
members of the Supervisory Board.
Shareholders also adopted the following resolutions:
* Discharge of the members of the Board of Management for their management of
the Company in 2014
* Discharge of the members of the Supervisory Board for their supervision
during 2014 of the Board of Management's management and of the general
affairs of the Company and its business
* Authorise the Board of Management to issue ordinary and/or financing
preference shares (including the grant of rights to subscribe for shares)
and limit or exclude pre-emptive rights
* Authorise the Board of Management to acquire shares in the capital of the
company
* Amendment Remuneration Policy: Bonus Incentive Plan (BIP) and adjustment
pension arrangements
* The appointment of Deloitte Accountants as external auditor of the company
as per 1 January 2016
