ESPERITE (ESP) executes private placement. Educe Capital invests EUR 2 million

EUR 1.2 million in equity and EUR 0.8 million by means of a convertible loan
note
Zutphen, The Netherlands - 26 May 2015
ESPERITE announces an agreement with Educe Capital (Malta), a financial holding
company, for a private placement of EUR 1.2 million in equity and EUR 0.8
million by means of a convertible loan note, generating total gross proceeds of
EUR 2 million.
Pursuant to the private placement, for a total subscription price of EUR 1,2
million, 389,610 new ESPERITE shares shall be issued to Educe Capital at a price
per share of EUR 3,08, calculated on an average price of the past days.
Following this issuance, ESPERITE will have a total of 10,191,832 shares
outstanding.
The unsecured convertible loan notes will bear interest at a rate of 7% per
year, payable semiannually and be convertible from June 30, 2016 until maturity
at an initial conversion price of EUR 3,08. The notes will mature on June
30, 2018, unless earlier converted or repurchased.
The transaction with Educe Capital is expected to close on June 3, 2015 subject
to customary closing conditions.
