Gold Fields Acquires Shares of Consolidated Woodjam Copper
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 09/24/15 -- Gold Fields Netherlands Services B.V. ("GF Netherlands"), a wholly-owned indirect subsidiary of Gold Fields Limited, announces that pursuant to a share sale agreement with Consolidated Woodjam Copper Corp. ("Woodjam Copper"), in consideration for the sale of all of the shares in its wholly-owned subsidiary Gold Fields Horsefly Exploration Corporation, GF Netherlands has acquired 12,285,463 common shares (the "Consideration Shares") of Woodjam Copper.
Taking into account the 562,553 Woodjam Copper common shares previously owned by GF Netherlands, following the issuance of the Consideration Shares GF Netherlands owns 12,848,016 common shares representing approximately 19.19% of the outstanding common shares of Woodjam Copper.
The Consideration Shares, which were issued by Woodjam Copper at a deemed price of $0.06 per share, will be held by GF Netherlands for investment purposes. GF Netherlands will continue to monitor the business, prospects and financial condition of Woodjam Copper. Depending on its evaluation of these and other factors, GF Netherlands may from time to time in the future increase or decrease its ownership, control or direction over the common shares or other securities of Woodjam Copper through market transactions, private agreements, subscriptions from treasury or otherwise.
