CANTONAL COURT OF ZUG TERMINATES THE CHALLENGE PROCEEDINGS BETWEEN WALTER
GRÜEBLER AND SIKA

Walter Grüebler has withdrawn his challenge action against the resolution of the
annual general shareholders' meeting of April 14, 2015, to hold an extraordinary
shareholders' meeting (see press release of June 11, 2015). As a result the
Cantonal Court of Zug terminated the proceedings in its decision of November
12, 2015.
Walter Grüebler remains involved as so called intervenor in the pending
challenge proceedings between Schenker-Winkler Holding AG (SWH) as claimant and
Sika AG as defendant. These proceedings concern the restriction of the voting
rights of SWH in the shareholders' meeting of April 14, 2015. A challenge of SWH
against certain resolutions of the extraordinary shareholders' meeting of July
24, 2015, is also pending.
