notified BHF Kleinwort Benson Group ("BHF KB") that the 14,921,842 shares held
by AQTON SE are the subject of an irrevocable tender commitment with respect to
its securities dated 23 November 2015 pursuant to which Oddo & Cie SCA and AQTON
SE act in concert, crossing the threshold of 25% of the outstanding 132,244,164
shares and voting rights in BHF KB and amounting to 35,318,415 shares
representing 26.71% of the voting rights in BHF KB.
