Status update regarding the intented public offer for all DOCDATA N.V. shares

This is a joint press release by DOCDATA N.V. and Cocoondd B.V., pursuant to
Section 7 Paragraph 1 of the Decree on Public Takeover Bids ('Besluit openbare
biedingen Wft', 'the Decree') in connection with the intended public offer by
Cocoondd B.V. for all the issued and outstanding ordinary shares in the capital
of DOCDATA N.V., not yet held by Cocoondd B.V. This announcement and any related
documentation does not constitute an offer, or any solicitation of any offer, to
buy or subscribe for any securities in DOCDATA N.V. Any public offer will be
made only by means of an approved offer memorandum. This press release may not
be published, distributed or otherwise sent, in its entirety or partly, directly
or indirectly, in or into Australia, the United States, Canada or Japan.
On 15 April 2016, Mr. D.E. Kat and DOCDATA N.V. have announced with a joint
press release to have reached conditional agreement on a recommended public full
offer by Mr. D.E. Kat, acting on his own behalf or on behalf of an acquisition
vehicle to be specified, for all issued and outstanding ordinary shares of
DOCDATA N.V. ('the Offer'). Meanwhile, Mr. D.E. Kat has designated the private
limited liability company Cocoondd B.V., incorporated on 29 April 2016 and
established in Bergen (Noord-Holland, The Netherlands), as acquisition vehicle.
All shares in the capital of Cocoondd B.V. are held by Mr. D.E. Kat. Mr. D.E.
Kat personally guarantees the financial liabilities of Cocoondd B.V. under the
Offer.
Pursuant to Section 7 Paragraph 1 of the Decree, a public announcement is
required within four weeks after announcement of the intended public offer. In
this respect, Cocoondd B.V. and DOCDATA N.V. announce the following.
Cocoondd B.V. and DOCDATA N.V. confirm that they are making good progress with
the necessary preparations with regard to making the Offer. Cocoondd B.V.
expects to submit a draft offer memorandum for approval to the Authority for the
Financial Markets ('the AFM') beginning of June 2016, but will do so no later
than 8 July 2016, being the ultimate date for the submission of the draft offer
memorandum pursuant to the Decree.
Currently, Cocoondd B.V. owns 1,869,014 ordinary shares in the capital of
DOCDATA N.V., representing a share interest of 26.7%.
