Asiakastieto Group Board resolved to continue key employee incentive plan
The Board of Directors of Asiakastieto Group Plc has resolved to continue the
key employee Performance Share Plan as resolved by the Board in March 2015. The
members of the Executive Team of the Group belong to the target group of the
plan.
The purpose of the plan is to continue aligning the objectives of the key
employees and shareholders in order to increase the value of Asiakastieto and
retain the key employees in the company in the long term. The incentive plan
rewards the key employees on the basis of achieved Total Shareholder Return to
company shareholders, giving the participants an opportunity to earn and
accumulate Asiakastieto shares. The performance period will commence on 1 July
2016 and end on 31 December 2018.
The potential reward will be based on the achievement of the required
performance levels of the performance criterion and it will be paid in 2019,
partly in shares and partly in cash. The cash proportion is intended to cover
taxes and tax-related costs which incur to the plan participant due to the
reward. As a rule, no reward will be paid if the participant's employment or
service ends before the reward payment. Should the targets of the plan be
attained in full, the payable rewards will correspond to a maximum total of
72,000 Asiakastieto Group shares, including also the cash proportion.
The plan participants must retain 50 per cent of net shares received on the
basis of the plan until the participant's share ownership equals his/her annual
gross base salary. Such number of shares must be held as long as the
participant's employment or service at Asiakastieto continues.
