Results of the annual general meeting of ENR Russia Invest SA on 30 June 2016
The following resolutions were approved at the annual general meeting ("AGM") of
ENR Russia Invest SA ("Company") which was convened in Geneva on 30 June 2016:
* Approval of the 2015 annual report and financial statements for the year
ended 31 December 2015 of both the group and the Company and the carrying
forward of CHF 416'517 of retained losses.
* Discharge of all members of the board of directors ("Board") for the 2015
financial year.
* Re-election for one year of Dr. Walter Fetscherin and Mr. Gustav Stenbolt to
the Board, with Mr. Gustav Stenbolt as Company chairman (each for a term of
office up to the next AGM).
* Election of Roland M. Müller as new member to the Board (for a term of
office up to the next AGM). Mr. Müller was born 3 May 1963, is a Swiss
citizen with Zurich as his place of origin and Muttenz, Switzerland as his
domicile. He has a Dr. iur and is an Attorney at Law and Notary Public
(Basel-City), with LL.M (Virginia), Certified Specialist SBA Construction
and Real Estate Law. Mr. Müller is a partner of the law firm VISCHER Ltd.
(Zürich and Basel) and head of VISCHER's real estate team. Mr. Müller
specializes in Real Estate and Corporate Law. He advises investors,
developers, builders, shopping center owners and managers on real estate law
matters. He is an officer of the International Bar Association's Real Estate
Section. As a civil law notary, he records the sale and purchase of real
estate (in Basel-City), corporate matters (formation of corporations,
shareholder meetings, capital increases, liquidations, etc.), as well as
matrimonial and inheritance deeds. Mr. Müller is also highly experienced in
domestic and cross-border corporate restructurings (mergers,
transformations, spin-offs, asset transfers etc.) and he advises domestic
companies and their owners as well as subsidiaries of foreign corporations.
Mr. Müller is the co-editor of one of the leading commentaries on the Swiss
Merger Act.
* Election of Dr. Walter Fetscherin and Mr. Gustav Stenbolt to the Company's
remuneration committee.
* Election of ZELLWEGER & LOCCA as independent shareholder representative for
the 2017 AGM.
* Re-election of Ernst & Young AG, Zurich as the Company and group's auditor
for one year.
* Approval of the Board's and the management's compensation (due to the
appointment of an additional board member, aggregate board fees were
increased from CHF 185'000 to CHF 235'000).
