Final results of the rights issue

(Oslo, 15 December 2010) The subscription period for the rights issue in EDB
ErgoGroup ASA (EDB ErgoGroup) expired at 17:30 (CET) on 9 December 2010. At the
expiry of the subscription period, EDB ErgoGroup had received subscriptions for
a total of 121,069,190 new shares. 94,862,219 new shares were offered, thus the
rights issue was oversubscribed with 27.6 per cent.
Approximately 98.3 per cent of the new shares on offer (approximately
93,243,635 shares) were subscribed through the exercise of subscription rights.
Approximately 1.7 per cent of the new shares on offer (approximately 1,618,584
shares) were subscribed for through oversubscription.
In a board meeting today, the Board of Directors of EDB ErgoGroup approved the
final allocation of the shares offered in the rights issue based on the
allocation criteria set out in the prospectus dated 23 November 2010. A total of
94,862,219 new shares have been allocated. Approximately 93,243,635 new shares
have been allocated to subscribers on the basis of exercised subscription
rights. Adjusted for treasury shares, 99.3 per cent of the allocated
subscription rights were exercised. Approximately 1,618,584 new shares have been
allocated to holders of subscription rights as a result of oversubscription. No
allocation has been made to subscribers without subscription rights.
Notifications of allocated new shares and the corresponding subscription amount
to be paid by each subscriber are expected to be distributed today. Payment for
the allocated shares falls due on 20 December 2010 in accordance with the
payment procedures described in the prospectus.
The new shares may not be transferred or traded before they have been fully paid
and the share capital increase pertaining to the rights issue has been
registered with the Norwegian register of Business Enterprises. It is expected
that the share capital increase will be registered in the Norwegian Register of
Business Enterprises on or about 22 December 2010 and that the new shares will
be transferred to the VPS accounts of the subscribers and admitted to trading on
the Oslo Stock Exchange on the same day.
Through the rights issue, EDB ErgoGroup will receive gross proceeds in the
amount of NOK 896,447,969.55. EDB ErgoGroup's extraordinary general meeting held
on 19 November 2010, resolved to increase the share capital of the company with
NOK 166,008,883.25 through the issue of 94,862,219 new shares as a result of the
rights issue. Following registration of the share capital increase pertaining to
the rights issue in the Norwegian Register of Business Enterprises, EDB
ErgoGroup's share capital will be NOK 467,843,216.75 divided by 267,338,981
shares, each with a nominal value of NOK 1.75.
