Major shareholder announcement
With reference to the major shareholder notification published in company
announcement no. 11/2016 dated 23 September 2016 and with reference to the
contemplated reorganisation as described in the offering circular published by
Nets A/S ("Nets") on 13 September 2016 in the section "Reorganisation", Nets
hereby announces the following notification received from AI Toscana
(Luxembourg) Holding S.à r.l. pursuant to section 29 of the Danish Securities
Trading Act regarding the indirect control of AB Toscana (Luxembourg) Investment
S.à r.l.'s holding of shares in Nets.
AI Toscana (Luxembourg) Holding S.à r.l. has, as envisioned in the offering
circular published by Nets on 13 September 2016 in the section "Reorganisation",
received the shares in AB Toscana (Luxembourg) Holding S.à r.l. held by certain
funds managed by Advent International Corporation (the "Advent Funds") through a
share exchange and thereby become an indirect shareholder in Nets. The indirect
shareholding of the Advent Funds in Nets remains unchanged. On the basis of a
shareholders' agreement, AI Toscana (Luxembourg) Holding S.à r.l. together with
certain Bain Capital Funds jointly control 65,194,556 shares of a nominal value
of DKK 1 each, corresponding to 32.5% of the total share capital and voting
rights shares in Nets A/S held by AB Toscana (Luxembourg) Investment S.à r.l.,
which is controlled by AB Toscana (Luxembourg) Holding S.à r.l. If the
overallotment option of up to 14,821,628 shares in Nets, which was granted in
connection with the IPO of Nets is not exercised in full, shares corresponding
to the unexercised part of such overallotment option will be redelivered to AB
Toscana (Luxembourg) Investment S.à r.l. on a pro rata basis to its lending of
shares to Deutsche Bank AG, London Branch.
AI Toscana (Luxembourg) Holding S.à r.l. is a limited liability company (société
à responsabilité limitée) organised under the laws of Luxembourg with
registration number B204128 with its registered office at 2-4 rue Beck, L-1222
Luxembourg, Grand Duchy of Luxembourg. AI Toscana (Luxembourg) Holding S.à r.l.
is controlled by the Advent Funds.
