Magnus Håkansson to become new President and Chief Executive Officer of RNB RETAIL AND BRANDS AB (publ)

The Board of Directors of RNB Retail and Brands AB (publ) have appointed Magnus
Håkansson, 47, as the new President and Chief Executive Officer of the company.
Magnus Håkansson is currently Chairman of the Board of RNB Retail and Brands AB
(publ) (since 2010) and President of Expert Sweden. Previously, he was active as
a director in AlixPartners Ltd of London, one of the largest corporate
consultancies, and at McKinsey, Modern Times Group and Kooperativa Förbundet
(the Swedish Cooperative Union).
Magnus Håkansson will assume his new position as soon as possible after his
period of notice at Expert Sweden has expired and, in connection with taking
office as President and Chief Executive Officer of RNB, he will step down as
Chairman of the RNB Board.

enabled him to acquire in-depth knowledge of the company and its market
conditions. Magnus Håkansson has also been involved in formulating the company's
strategy and has considerable experience of managing retail operations in
markets exposed to competition. As a result of this, combined with his well-
documented first-rate management qualities, we are convinced that Magnus will be
an excellent President and CEO, with the ability to continue to develop RNB,"

Magnus Håkansson succeeds Mikael Solberg. As previously announced, Mikael
Solberg has decided to step down from the position as President and Chief
Executive Officer of the company. Mikael Solberg's reelection as Member of the
Board has been proposed by the Nomination Committee.
The company's Nomination Committee, whose duties include proposing to the Annual
General Meeting candidates for such positions as Chairman of the Board, has been
informed of the Board's decision. In the opinion of the Nomination Committee,
there is no reason at present to amend the motion concerning the proposed
Chairman of the Board.
Due to the appointment made by the Board of Directors, the Nomination Committee
intends instead to propose to the Annual General Meeting, in addition to the
resolution regarding principles for appointing the Nomination Committee (item
16 of the current proposed agenda for the Annual General Meeting), that
directives be announced in the following manner:
"The current Nomination Committee's period in office is to be extended until a
new Nomination Committee has been convened. The Nomination Committee is to be
commissioned to initiate a process that ensures that a suitable replacement for
the outgoing Chairman of the Board has been installed by the time the outgoing
Chairman has vacated his position.
The Nomination Committee will also arrive at an opinion concerning whether it
finds it appropriate:
1. That an Extraordinary General Meeting be convened for the election
of a new Chairman of the Board, or
2. That the Board of Directors, from among its numbers, appoints a new
Chairman of the Board for the period until the close of the next Annual General
Meeting."
