New Share Capital Registered and Treasury Shares Transferred

ASKER, NORWAY (7 March 2011) - Following the stock option exercises as notified
by Oslo Stock exchange on 24 February 2011, 427,750 new shares have now been
registered in the Company register in Brønnøysund for exercises from the 2006
and 2009 stock option plans. A total of 85,000 shares are transferred to cover
the exercise from the 2008 plan. The share capital of TGS-NOPEC Geophysical
Company ASA is thereafter NOK 25,978,393.75 consisting of 103,913,575 shares at
a nominal value of NOK 0.25 per share. Following this transaction, TGS holds
1,482,151 of the issued shares as treasury shares.
