Refresco rejects PAI's unsolicited non-binding proposal

Rotterdam, the Netherlands, 12 April 2017 - Refresco Group N.V. (Euronext
Amsterdam: RFRG) has taken notice of the rumours in the market on a proposal by
PAI Partners SAS (PAI). Refresco confirms that it received an unsolicited,
indicative and conditional proposal from PAI on 6 April 2017 regarding a
possible offer to acquire all 81.2 million issued shares in the company at an
aggregate cash consideration of EUR 1,404 million.
The Executive Board and the Supervisory Board (together, the "Boards") of
Refresco have, in line with their fiduciary duty, reviewed the proposal, taking
into account the interests of all Refresco's stakeholders.
Refresco has informed PAI that the proposed terms and conditions did not merit
any further investigation and have accordingly rejected the proposal.
