Leverkusen, Germany, July 21, 2011 - Based on the authorization of the ordinary
shareholder assembly the management has, with consent of the supervisory board,
decided on June 7, 2011, to emit an option bond. Details are to be found in the
ad-hoc release of June 07, 2011. Shareholders were given purchase and over-
purchase rights. Partial debentures that were not subscribed within the
shareholder purchase right were offered to the holders of the 8% convertible
bond of 2005/2012 (ISIN DE000A0E9649) for exchange in the relation of 5 : 6. In
addition, they will be offered to qualified investors at the nominal value. The
result of the latter offer will be published separately. According to today's
assessment, nominally TEUR 5,855 were subscribed, of which TEUR 3,128 relate to
the exchange of the 8% convertible bond of 2005/2012.
The company will thus obtain new liquidity in the amount of about TEUR 2,727.
The completion of the transaction will therefore lead to a substantial reduction
of the company's short-term bond, along with an improvement of the financial
structure and an increase of the liquidity.
