U.S. Gold Corp. Elko, Nevada. (NASDAQ: USAU) (the "Company" - http://www.commodity-tv.net/c/search_adv/?v=298164 ) announced today that it resolved to withdraw a part of the agenda "PROPOSAL NO.2 - Approve an amendment to the Companys Articles of Incorporation, as amended, to implement a reverse stock split of the Companys issued and outstanding common stock at a ratio of not less than 1 for 2 and not more than 1 for 10, within the discretion of the Board of Directors, at any time prior to September 13, 2019" and PROPOSAL NO.3 - Approve the issuance of securities in one or more non-public offerings where the maximum discount at which securities will be offered will be equivalent to a discount of 30% below market price of our common stock in accordance with Nasdaq Marketplace Rule 5635(d)to partially revise the agenda to be submitted to the 2018 Annual Meeting of Shareholders to be held September 13, 2018 (the " Meeting").
