Intention to make a voluntary offer for all Bjørge ASA shares

(Thomson Reuters ONE) - The board of directors of Bjørge ASA has been informed by aconsortium comprising private equity company HitecVision, AkerCapital Fund and Camar that they have an intention to make an offerof NOK 11 per issued share in Bjørge ASA.The board takes the view that this consortium has expertise in theoil and offshore industry which could open for a positive furtherdevelopment of the group.Pursuant to section 6-16 of the Norwegian Securities Trading Act, theboard will decide when the formal bid has been submitted whether torecommend its acceptance to the shareholders. In that connection,Bjørge has engaged Pareto Securities as its financial advisor toconduct an independent valuation of the company and to issue afairness opinion. The board will make a statement on its position ingood time before the offer period terminates, and at least a weekbefore the deadline for acceptance.The consortium is currently conducting legal and financial duediligence of Bjørge ASA, and a formal offer is expected withintwo-four weeks.
