ALDATA GROUP'S NOTIFICATION REGARDING A CHANGE IN OWNERSHIP ACCORDING TO SMA
CHAPTER 2 SECTION 10
Symphony Technology II-A, L.P. (Symphony) has made a mandatory public tender
offer to purchase all issued and outstanding shares and option rights in Aldata
Solution Oyj (Aldata) that are not owned by Aldata or its subsidiaries or
already owned by Symphony (Tender Offer). The offer period of the Tender Offer
has commenced on 15 August 2011 at 9.30 a.m. (EET) and has expired on 23
September 2011 at 4.00 p.m. (EET).
Based on the final result of the tender offer published on 28 September 2011,
the ownership of Symphony Technology IIA, L.P., together with the shares already
owned or otherwise acquired by Symphony Technology II-A, L.P., exceeds the
threshold of 2/3 once the completion trades of the tender offer are settled on
4 October 2011.
Aldata has been notified that out of the total number of shares subject to the
Tender offer, Symphony had been tendered altogether 32,802,392 shares, which
together with the previously owned shares represent 89,1 per cent of the current
total number of shares in Aldata.
In addition, out of the total number of option rights subject to the Tender
offer, Symphony had been tendered altogether 2,585,000 option rights,
representing 3,6 per cent of total number of Aldata's shares in case all the
option rights now tendered into tender offer are exercised and that the share
capital of Aldata would thus consist of 71,353,395 shares in total.
Based on the above assumption regarding the option rights Symphony will own and
control a total of 63,887,267 shares, representing 89,5 per cent of the voting
rights and numbers of the shares of Aldata Solution Oyj upon the completion of
the settlement trades in accordance with the terms and conditions of the Tender
offer.
Symphony owned and controlled a total of 28,499,875 shares, representing 41,4
per cent of the voting rights and number of shares in Aldata on the date of the
tender offer document 12 August 2011.
Aldata Solution Oyj has a single share series. The company has a share capital
of EUR 687,333.95 and a total of 68,768,395 shares.
