(Thomson Reuters ONE) - Downing Protected VCT II plc and Downing Protected VCT III plc6 November 2009Offers for SubscriptionDowning Protected VCT II plc and Downing Protected VCT III plc (the"Companies") announce that they have published a Prospectus(comprising a Securities Note, Registration Document and Summary) toraise, in aggregate, up to £20 million (the "Offers").The Companies have also published a Circular seeking shareholderapproval for matters in connection with the Offers and giving noticefor General Meetings to be held on 8 December 2009.The Offers opened on 6 November 2009 and are expected to close nolater than 5 April 2010 in the case of the 2009/10 Offer and 30 April2010 in the case of the 2010/11 Offer (unless previously extended). The Offers are for up to 10,000,000 D Shares and up to 10,000,000 EShares in each Company.
