(Thomson Reuters ONE) - 6 November 2009BRIT INSURANCE HOLDINGS PLCEMPLOYEE SHARE OWNERSHIP PLAN ("the ESOP")Brit Insurance Holdings PLC ("the Company"), the internationalgeneral insurance and reinsurance group, confirms that thisdisclosure relates to a single transaction of which notification wasreceived under Paragraph 3.1.2 of the Disclosure and TransparencyRules.The ESOP is a HM Revenue and Customs approved trust arrangement,operated through Equiniti Share Plan Trustees Limited ("theTrustees"), under which employees are able to buy ordinary shares of75 pence each in the Company ("Partnership Shares"), using monthlydeductions from salary, and receive free ordinary shares of 75 penceeach in the Company ("Matching Shares") on the basis of one MatchingShare for every two Partnership Shares purchased. Under the ESOP, theBoard may also award ordinary shares of 75 pence each in the Company("Free Shares") to eligible employees.
