Brigadier Gold Receives Requisition from Dissident Shareholders
(firmenpresse) - TORONTO, ONTARIO -- (Marketwire) -- 10/26/11 -- Brigadier Gold Limited (TSX VENTURE: BRG) (the "Company") announced today that it has received a requisition from Feisal Somji, Rodney Stevens, Cynthia Massari, Dr. Alnoor Somji Inc., Roger Norwich, Joseph O'Farrell, Colm Harte and Paul Talkington (collectively the "Dissident Shareholders") requesting that the board of directors of the Company (the "Board") call a meeting of shareholders to consider certain matters set out in such requisition. The Dissident Shareholders are believed to hold sufficient shares of the Company to be able to requisition a meeting under the Business Corporations Act (Ontario). The Shareholders have stated that they are seeking to: (i) remove three directors from the Board, being Grant Hall, Alick Ryder and Herb Kokotow; (ii) decrease the size of the current Board from five to four; and (iii) elect two new nominees to the Board.
The Company remains committed to considering the views of its shareholders in accordance with the best practices of corporate governance. The Board will consider the dissident requisition and respond appropriately in due course.
