Omnicare Extends Tender Offer for PharMerica Until January 20, 2012; Amends Timing Agreement with the FTC

COVINGTON, Ky., December 5, 2011 - Omnicare, Inc. (NYSE:OCR) today announced
that it has extended its offer to purchase all outstanding shares of PharMerica
Corporation (NYSE: PMC) common stock for $15.00 per share in cash to 5:00 p.m.,
New York City time, on January 20, 2012, unless further extended. The tender
offer was previously scheduled to expire at 5:00 p.m., New York City time, on
December 2, 2011. All other terms and conditions of the tender offer remain
unchanged.
The depositary for the tender offer has advised that as of 5:00 p.m., New York
City time, on December 2, 2011, 2,610,235 shares of PharMerica common stock
(including 679,295 shares subject to guarantees of delivery), representing
approximately 8.9% of all outstanding shares, had been tendered into and not
withdrawn from the tender offer.
Additionally, Omnicare today announced that it has agreed with the FTC that
Omnicare will not consummate a transaction with PharMerica prior to January
19, 2012, unless the FTC notifies Omnicare that the FTC has closed its
investigation of the transaction. Previously, Omnicare had agreed not to
consummate the transaction prior to December 19, 2011.
