Düsseldorf/St. Gallen - December 07, 2011. The exceet Group SE, a leading
provider of embedded intelligent electronics and card-based security
technology, intends to acquire Inplastor GmbH, the Austrian full service
provider of card-based loyalty and ID security solutions. exceet Group SE
and Inplastor signed a purchase contract on December 1, 2011. Both parties
have agreed not to disclose specific details of the purchase price. In this
way, the exceet Group will continue to follow its expansion, which started
in 2006 when Ventizz Capital Fund III, L.P. first invested in the Group.
Inplastor GmbH, based in Vienna, produces 25 million plastic and chip cards
for loyalty and security solutions each year. Inplastor serves Austria's
largest retailers and is the market leader for the development and
production of personalised loyalty solutions in Austria. Turnover in the
financial year 2011 is expected to be around 9 million euros.
As an innovative provider, with a specific focus on the Austrian market,
Inplastor perfectly complements the portfolio of exceet Group with its
production centres in Germany, the Netherlands, Austria, Switzerland and
the Czech Republic.
'exceet is an impressive growth story and the integration of Inplastor is a
logical step towards the expansion of exceet's leading position in the
German-speaking region,' said Willi Mannheims, Managing Partner of Ventizz
Capital Partners Advisory AG, which exclusively advises the Ventizz funds.
'The exceet Group is on an excellent course and has great potential for
further growth. This was most recently reinforced with the announcement of
the quarterly report. We anticipate that the Group will continue to develop
in the future in a similarly positive fashion.'
Ventizz Capital Fund III, L.P. reduced its stake in exceet Group AG in June
2011 and sold shares to the 'Special Purpose Acquisition Company' (SPAC)
Helikos SE. Since July 27, 2011, following successful de-SPACing, the
company has been trading on the regulated market (Prime Standard) of the
Frankfurt stock exchange under the name exceet Group SE.
In the first 9 months of the financial year 2011, the exceet Group
generated total revenues of 128.9 million euros. This amounts to a
significant increase of more than 51 percent compared to 85.1 million euros
recorded over the same period in the previous year.
When comparing the same periods, earnings before interest, tax,
depreciation and amortisation (EBITDA) also rose by 65 percent from 13.2
million euros in 2010 to 21.7 million euros in 2011.
