Fresenius Medical Care Announces the Offering of ?250 million of Senior Notes for Refinancing Purposes
Bad Homburg, Germany ? Fresenius Medical Care AG Co. KGaA (the "Company? or "Fresenius Medical Care?), the world?s largest provider of dialysis products and services, today announced that it intends to sell ?250 million of senior unsecured notes due 2016 (the "Senior Notes?) issued by FMC Finance VI S.A., a wholly owned subsidiary of the Company. The Senior Notes will be offered through a private placement directed to institutional investors outside the United States. There will be no public offering of the Senior Notes. Proceeds from the offering will be used to repay short-term indebtedness and for general corporate purposes.
The Senior Notes will be guaranteed on a senior basis jointly and severally by the Company, Fresenius Medical Care Holdings, Inc. and Fresenius Medical Care Deutschland GmbH.
The proposed offering will not be registered under the Securities Act of 1933. The offering will be made in an "offshore transaction? pursuant to Regulation S under the Securities Act and will be offered in the United States to "qualified institutional buyers? pursuant to the exemption from registration under Rule 144A under the Securities Act.
