unconditional and irrevocable guarantee of Q-Cells SE, Bitterfeld-Wolfen,
Germany (ISIN: DE000A0LMY64 / WKN: A0LMY6) (the convertible bond
hereinafter the 'Bond', the holders of the partial bonds hereinafter the
'Creditors')
the following:
I refer to the resolution of the holders' meeting of 25 October 2011 to
appoint me joint representative of the Creditors.
Herewith, I resign from my office as joint representative with immediate
effect.
I advise that Dr. Tom Oliver Schorling, who, pursuant to the resolution of
the holders' meeting of 25 October 2011, was appointed as joint
representative in case of the end of my office as joint representative,
intends to resign from his office today as well.
I advise also to the notices made in connection with the resolution of the
Local Court of Dessau-Roßlau of 1 July 2012, with which the court opened
the insolvency proceedings over the assets of Q-Cells SE, set a time-limit
of the filing of the insolvency claims and determined hearings in the
insolvency proceedings for 18 July 2012 and 15 August 2012.

unconditional and irrevocable guarantee of Q-Cells SE, Bitterfeld-Wolfen,
Germany (ISIN: DE000A0LMY64 / WKN: A0LMY6) (the convertible bond
hereinafter the 'Bond', the holders of the partial bonds hereinafter the

to appoint as joint representative of the Creditors in case that the office
of Dr. Carlos Mack as joint representative ends by way of resignation or in
any other manner (except the withdrawal by way of majority resolution of
the Creditors). Dr. Carlos Mack declared today to resign from his office as
joint representative with immediate effect.
Herewith, I resign from my office as joint representative with immediate
effect.
