May 31, 2010  Northland Resources S.A. (Northland) reports that during May
31, 2010, 350,000 incentive stock options were granted, and 50,000 incentive
stock options were exercised.

As at May 31, 2010, the issued share capital of Northland is 110,662,399
shares.  There are now a total of 10,285,000 incentive stock options
outstanding.  The issuance of 386,500 shares in relation to option exercises is
pending.   The total fully diluted share capital is 121,333,899 shares.
