St. Gallen, 09 July 2010 - CLEANTECH INVEST AG (ISIN: CH0034183175, Ticker
Frankfurt: 4CT, Ticker Berne: CTI, www.cleantech-invest.ch) - a Berne and
Frankfurt Stock Exchange listed Growth Capital Fund focusing on Clean
Technology Investments in the German-speaking region - announces the
results of the general shareholder meeting in St. Gallen, Switzerland on
17th June 2010.
The shareholders of Cleantech Invest AG unanimously approved all proposals
put forward by the Board of Directors. 2'396'390 bearer shares were
represented, equaling 22.5% of the total share capital.
The general shareholder meeting acknowledged the report of the auditor
Ernst&Young and approved the annual report and financial statements for
fiscal year 2009 according to the Swiss Code of Obligations ('Schweizer
Obligationsrecht', OR) and IFRS.
The Members of the Board of Directors and the management of the company
were granted discharge for fiscal year 2009. The existing Members of the
Board of Directors, namely Jürgen F. Habichler, Dr. Leo Schrutt, Daniel S.
Wenzel, Prof. Dr. Hans-Michael Gottfried Müller-Steinhagen and Dr. Willy
Kissling, were reelected for another 3-year term. Furthermore, the
shareholders elected Alexander von Hutten as a new Member of the Board of
Directors. At the following constitutive session of the Board of Directors,
Jürgen F. Habichler and Dr. Leo Schrutt were confirmed as President and
Vice President of the Board of Directors respectively. Ernst&Young AG,
Zurich, was reelected as auditor for an additional year.
Moreover, the period for the execution of a capital increase from
authorized stock was extended to 16 June 2012.
