Oriola-KD has completed the Medstop acquisition

Oriola-KD has completed the acquisition of Medstop, announced on 8 April 2013,
according to plan. The conditions precedent for the closing have been fulfilled
by 31 May 2013 and Medstop will be reported as part of the Pharmaceutical Trade
Sweden's segment from 1 June 2013. Synergies of the acquisition are estimated to
reach EUR 8-10 million annually in value. Full effect of the synergies is
estimated to be realized from 2015 onwards. Oriola-KD will start the integration
planning immediately and will report on the financial impact of the acquisition
in connection with the next interim reports.
The Medstop pharmacy chain has a total of 67 pharmacies located in shopping
centers and city center locations in the Stockholm, Gothenburg and Malmö areas.
Medstop's market share of the Swedish pharmacy market is approximately 7.5 per
cent and the pharmacy chain employs 578 people. In 2012, the net sales of
Medstop were EUR 273 (299) million and EBITDA was EUR 11.6 (11.5) million,
excluding non-recurring items, corresponding to approximately 4.2 (3.8) per cent
of net sales. The net debt of the pharmacy chain at year end 2012 was EUR 75
(80) million and total assets at the end of 2012 were EUR 215 (223) million.
Kronans Droghandel's market share is approximately 14 per cent of the Swedish
Pharmacy market, the number of employees approximately 1000 people and the net
sales in 2012 were EUR 503 (483) million. Following the acquisition, Oriola-KD
will have some 290 pharmacies in Sweden, its market share in the Swedish retail
market is approximately 21 per cent and the total number of employees is
approximately 1600.
