1. Resolutions Passed at the Annual General Meeting held on 28 June 2013
Greater China Precision Components Limited ('GCPC') wishes to announce that
at the Annual General Meeting ('AGM') of GCPC held on 28 June 2013, all
resolutions as set out in the Notice of AGM dated 27 May 2013 were duly
passed.
Besides approving the re-election of Directors, re-appointment of Auditors,
payment of Directors' fee, payment of first and final dividend, tabling the
audited financial statements and authority to the allot and issue shares by
Directors at the AGM, the members also approved the Share Purchase Mandate,
allowing the Company to buy back up to 10% of its issued shares excluding
treasury shares of the Company.
2. Obligation of Substantial Shareholder and Shareholders Background
Analysis
GCPC also wishes to highlight the obligation of a substantial shareholder
pursuant to Sections 81, 82 83, 84, 89 and 91 of the Singapore Companies
Act, Cap 50 ('the Act').
A substantial shareholder is defined as one having voting shares of not
less than 5% in the Company. He is required under the Act to give notice in
writing to the company of his name, address and full particulars of the
shares in which he has an interest within 2 business day of he becoming a
substantial shareholder. If there is any change in the percentage level of
the interests or ceases to be a substantial shareholder, notice in writing
must be given to the Company within 2 business days. Failure to comply with
the above is an offence.
At the same time, GCPC is also in the midst of carrying out shareholder
background analysis and hence requests the cooperation of shareholders to
disclose their respective shareholding in the Company.
3. Member Record and Dividend Payment Dates
GCPC also wishes to inform that the shareholders that the member record and
dividend payment dates will be announced separately later.
