The LifeWatch Shareholders' Group submits a formal request to the cantonal
court of Schaffhausen requesting that the court itself directly call the
ordinary Annual General Meeting 2012 of LifeWatch AG
Zurich, 7 August 2013 - The LifeWatch Shareholders' Group represented by
Patrik Ringler informs that it has submitted a formal request to the
cantonal court of Schaffhausen in regard to calling of the ordinary Annual
General Meeting 2012 of LifeWatch AG. To date the Company has failed to
comply with its statutory and legal requirements to call an ordinary Annual
General Meeting by June 30, 2013 at the very least.
LifeWatch cancelled the Annual General Meeting planned for May 29, 2013 at
very short notice on May 28, 2013, following its filing of a charge at
FINMA regarding alleged violations of disclosure obligations by the
Shareholders' Group represented by Patrik Ringler. On July 3, 2013,
however, FINMA ruled that in any of the investigated cases there was no
ground for suspending the voting rights or for prohibiting additional share
purchases. Notwithstanding its own promise to immediately call an ordinary
Annual General Meeting once the situation with regard to the suspension of
voting rights has been clarified and despite various requests in writing by
the Shareholders' Group following the unequivocal verdict by FINMA,
LifeWatch has to date failed to call an ordinary Annual General Meeting
after all. In an attempt to protect the basic shareholders rights the
Shareholders' Group therefore requests that - instead of the Board of
Directors of LifeWatch represented by its newly appointed Chairman Kenneth
Melani - the cantonal court of Schaffhausen directly call the ordinary
Annual General Meeting 2012 of LifeWatch AG according to Art 699, lit.4,
Swiss Code Obligations with the same agenda as previously stated in the
invitation to the ordinary Annual General Meeting on May 29, 2013.
