Curanum AG: Shareholders have filed a request for an annulment and
challenged a resolution of the Shareholders' General Meeting
Pursuant to§§246 para. 4, 249 para. 1 AktG, on today's date we submitted
a message for publication to the Federal Gazette that shareholders have
filed a challenge action (§246 AktG) and a nullity action (249 AktG)
against a resolution passed at the Ordinary Shareholder's General Meeting
on August 21, 2013:
The actions relate to the resolution on agenda point 7 on the agreement to
increase the share capital by EUR 56,676,000.00 against contribution in
kind (contribution of all business shares to PHÖNIX Seniorenzentren
Beteiligungsgesellschaft mbH via Korian S.A.) and to issue new shares
excluding the right of subscription of the shareholders as well as on
changes to§4 para. 1 of the articles of association.
The case is pending in front of Munich District Court I, Chamber for
Commercial Affairs, filed under 5 HK O 18710/13 and 5 HK O 19856/13. The
court has first ordered for written preliminary proceedings to begin. As a
result, a date for the hearing is not yet known.
