Maastricht, December 07, 2010 - Navigator Equity Solutions SE is pleased to
announce that its subsidiary ACON Actienbank AG acts as lead manager for
the current capital increase with security prospectus of AGRARIUS AG.
Additional members of the consortium are DONNER&REUSCHEL AG, DAB bank AG
and S Broker.
The management board of AGRARIUS AG (ISIN DE000A0SLN95) has resolved with
approval from the supervisory board to increase the share capital of the
company by up to 4,990,000 euros through issuance of up to 4,990,000 new
bearer no-par-value shares, each of which represents a proportional amount
of the subscribed capital of 1.00 euros, against cash. The issue price for
the new shares amounts to 1.00 euros per share. Thus, the company's share
capital will increase from currently 2,495,000 euros to up to 7,485,000
euros.
The new shares, fully entitled to dividends for the fiscal year 2010, are
offered in Germany during the time from December 07 until presumably
December 20, 2010, by way of a public offer with security prospectus
required as well as by way of a private placement in the foreign countries
of Europe. In the course of a rights offer in the forefront of public
offer, the existing shareholders of the company, including the investment
company Frankfurter Corporate Finance Partners, have already subscribed for
1.3 million new shares of the company. It is planned to have the new shares
admitted to the unofficial regulated market (Open Market) of the Frankfurt
Stock Exchange after the completion of the capital increase and its
registration with the commercial register.
As an agricultural enterprise, AGRARIUS AG is focused on the professional
cultivation of own and leased farmland in Romania. The additional capital
will be used to expand the company's farmland. In early 2009, AGRARIUS has
acquired and reactivated a fallow farming business near Timisoara with a
total farmland of 550 hectares. After the first successful harvest in
summer 2010 and the expansion to about 1,000 hectares of farmland, the
company is now heading for further growth. Therefore, AGRARIUS plans to buy
and lease new farmland.
