Publication in accordance with section 30b (1) sentence 1 no. 2 of the

(Issue of New Shares)
Under the terms of the capital increase of up to EUR 4,365,874.00 through
the issue of up to 4,365,874 new no-par value bearer shares (the 'New
Shares') resolved by the Annual General Meeting on 17 August 2010, a total
of 4,365,874 New Shares with full earnings participation from 1 January
2010 and a notional interest in the share capital of EUR 1.00 per share
were issued in exchange for cash contributions.
The shareholders were granted an indirect subscription right for the New
Shares. As part of the subscription offer, which was published on 16
November 2010, and the subsequent private placement of unsubscribed shares
among a limited group of investors, a total of 4,365,874 New Shares were
subscribed and the corresponding capital increase was submitted for entry
in the commercial register of the Gelsenkirchen Local Court (the 'Capital
Increase').
The 4,365,874 New Shares came into effect with the entry of the Capital
Increase in the commercial register of the Gelsenkirchen Local Court on 6
December 2010. As a result of the Capital Increase, the share capital of
the Company now amounts to EUR 8,865,874.00.
