companies/Noerr experts anticipate increasing demand from the industry
Munich, 4 March 2011. Insurance companies can, in future, more easily
implement internal IT outsourcing in spite of criminal law obstacles.
According to Dr. Peter Bräutigam, head of the IT Practice Group of Noerr
LLP, the passing on of sensitive customer data to the internal computer
centre and IT service providers without committing an offence is rendered
possible by the new solution. The expensive avoidance strategies usually
used so far, such as anonymisation of data or the establishment of dual
employment, can be dispensed with.
While in most industries, outsourcing of the IT infrastructure and data has
long been the rule, outsourcing to internal service providers has so far
been costly and complex for health and life insurers. The reason is a
section in the Criminal Code which makes outsourcing within a group
extremely costly. 'Health, accident and life insurers may not pass on to
third parties personal secrets of their customers without authorisation',
said Bräutigam. That can occur when outsourcing service providers have
access to customer data.
At today's Munich 'Noerr Outsourcing Day', the experts Dr. Peter Bräutigam
and Dr. Thomas Thalhofer present for the first time a practical solution
which substantially excludes the criminal law risks, opens competitive
advantages by synergy effects to outsourcing groups and is capable of
ensuring in the future movement in internal outsourcing for insurers.
'Although the legislator has not amended the Criminal Code, the passing on
of customer data is nevertheless possible without penalty with the
appropriate structuring and contractual precautions', said Bräutigam.
For internal IT outsourcing free of penalty in the insurance industry,
close integration of the service provider in the organisational structure
of the health, accident or life insurer by means of rights of instruction,
control and direction similar to a departmental structure is a condition,
according to Bräutigam. 'The structural and contractual securing of
direction makes the requirement that the employee of the internal IT
company must also be an employee of the insurer, obsolete', emphasises
Bräutigam. Under this functional term, the corporate law view is no longer
critical, but primarily the responsibilities in the work processes.
'Applying this solution, IT services and data may be outsourced within the
group to companies which then perform similar business processes more
economically for individual group divisions such as life or accident
insurers.'
By this method introduced at the Outsourcing Day, the avoidance strategies
so far adopted with extreme organisational and cost demands such as dual
employment of the service providers' employees with other insurance
companies in the group will become mostly superfluous. Bräutigam therefore
expects increased interest from insurers in this solution in the immediate
future.
