Capital reduction
(Thomson Reuters ONE) - Norsk Hydro ASA has on July 13, 2009 completed a capital reduction bycancellation of 7,846,738 shares at par value of NOK 1.098 per share,which includes 3,438,738 shares redeemed from the Norwegian State,represented by the Ministry of Trade and Industry. This is inaccordance with the resolution passed by the Annual General Meetingon May 5, 2009 related to the share buyback authorization granted bythe Annual General Meeting on May 6, 2008.Under this authorization, Hydro has repurchased and redeemed7,846,738 shares for a total of NOK 274 million. From September toOctober 2008, 4,408,000 shares were bought back in the market at anaverage price of NOK 33.90 per share. An agreement was made with theNorwegian State, Hydro`s largest shareholder, that the State wouldparticipate with a proportional part of its shares, in order to leaveits ownership interest unchanged. This amounts to 3,438,738 shares,which have now been redeemed at a price of NOK 36.15 per share. Theprice paid per share to the State includes interest compensation fordelayed settlement compared to the purchases in the market.After the capital reduction, the total number of issued andauthorized shares has been reduced to 1,240,110,211, each at parvalue of NOK 1.098.
