The Cantonal Court of Zug has served Sika AG today with a challenge and voting
right action of Schenker Winkler-Holding (SWH) against certain resolutions of
the ordinary general meeting of Sika on April 14, 2015. With its action SWH
challenges in particular the re-election to the board of directors of Ms. Ribar
and Messrs. Hälg, Sauter, Suter and Tobler as well as the non-election of Mr.
Roesle to the board. Sika will respond to the action of SWH in the context of
the court proceedings.
Irrespective of this legal action, which was already announced some time ago,
Sika remains convinced that SWH's attempted sale of Sika to Saint-Gobain is
legally not viable in this form and makes no entrepreneurial sense.
