Berlin, 09.04.2013 - Negotiations for the sale and leaseback of the
property in Lankwitz are progressing successfully. An institutional real
estate investor, preferred by the company, has declared its intention to
approve the contract, notarised today by a representative without power of
attorney, at the end of next week. This transaction will not only allow
Berliner Synchron to write off almost all its debts at a stroke but also
free up resources for further rapid restructuring of the company.
The board already announced on 03.05.2013 that it did not anticipate being
able to realise the book value of the property as of 30.09.2012 in full.
With the conclusion of this impending purchase agreement, it will only be
short of the amount. A corresponding amortisation of the market value,
which will not affect liquidity, is to be carried out as of 31.12.2012. As
feared, the sale of the land will thus lead to a loss for 2012, but only to
a small extent..
Furthermore, it will address the concern the Board expressed on 05.03.2013
of having to determine the loss of half of the equity, requiring the
calling of an extraordinary general meeting. In the view of the Board, this
is very good news for shareholders.
Following certification of the land sale, the annual accounts for 2012 can
quickly be completed and the Annual General Meeting called. For Berliner
Synchron, the way will thus now be clear to implement further restructuring
and future business strategy.
