ORCO Germany S.A. - the company received a formal request from its major
shareholder MSREF V Turtle B.V. to add a new item on the agenda of the
Annual General Meeting of the Shareholders of ORCO Germany, convened to be
held at the registered offices of the Company on 15 April 2011 at 3 p.m.
(the 'Annual General Meeting').
MSREF V Turtle B.V. as the major shareholder of ORCO Germany, holding more
than 10% of the corporate capital, requested the following item regarding
change of the director to be put on the agenda of the Annual General
Meeting:*
1. Approval of the replacement, with immediate effect, of Mr. Ulf
Pleschiutschnig, by Mr. Christian Schede, until the ordinary general
meeting of shareholders of ORCO Germany S.A. to be held in 2012.
*Pursuant to Article 70 of the Luxembourg law of 10 August 1915 on
commercial companies, as amended (the 'LCA'), one or more shareholders who
together hold at least ten percent of the subscribed capital, may request
additional items to be put on the agenda of a general meeting up to five
days prior to holding of a general meeting.
