Minimum Acceptance Level Achieved for the Public Tender Offer by Amerigon
Odelzhausen, Germany - 12 May 2011 - The minimum acceptance level for the
public tender offer issued by Amerigon Europe GmbH, a one hundred percent
subsidiary of Amerigon, Inc., Michigan, USA, on 11 April 2011 to the
shareholders of W.E.T. AG for the acquisition of all W.E.T.-shares at a
purchase price of EUR 40.00 per share (the 'Offer') has been achieved.
According to Section 11.1.1 of the offer document, the Offer is subject to
the condition that, as of the expiry of the acceptance period, the number
of W.E.T.-shares for which the Offer has been accepted corresponds to at
least 71.80% of the nominal share capital of W.E.T. AG, i.e. 2,297,663
W.E.T.-shares. The acceptance period for the Offer has expired on 9 May
2011, 12 p.m. CEST. At that time, the Offer has been accepted for in total
2,316,175 W.E.T.-shares. This corresponds to 72.38% of the nominal share
capital of W.E.T. AG. Accordingly, the condition pursuant to Section 11.1.1
of the offer document has been satisfied. Already before, the conditions
pursuant to Section 11.1.2 of the offer document - granting of the
necessary merger control clearances - have been satisfied.
